Supplier Management Policy

Mospec Semiconductor Corp. is committed to implementing supplier management and establishing responsible partnerships to ensure supply chain sustainability. We have established this Supplier Management Policy to jointly promote environmental sustainability, safeguard fundamental labor rights, and fulfill corporate social responsibility.

1. Environmental Sustainability

Compliance: Suppliers must comply with relevant environmental laws and regulations and continuously reduce their environmental impact.

Resource Management: Suppliers should improve energy efficiency, reduce waste emissions, and actively promote recycling.

Green Products: Priority should be given to materials and technologies with environmental certification to provide products and services with lower environmental impact.

2. Occupational Safety

Safety Standards: Suppliers must provide a safe working environment and comply with relevant occupational safety and health standards.

Risk Management: Regularly conduct safety risk assessments and implement effective risk control measures.

Employee Training: Provide regular occupational safety and health training to enhance employees' safety knowledge.

3. Labor & Human Rights

Respect for Human Rights: Suppliers must comply with the Universal Declaration of Human Rights and relevant international standards to ensure the basic rights of employees.

Prohibition of Forced Labor: Eliminate all forms of forced labor, child labor, and discriminatory behavior.

Fair Treatment: Provide fair compensation and benefits, and respect employees' freedom of association and right to collective bargaining.

4. Ethical Management

Suppliers shall conduct business activities in a fair and transparent manner based on the principle of integrity.

In the course of business, suppliers shall not directly or indirectly offer, promise, request, or receive any improper benefits, or engage in any other unethical, illegal, or breach-of-trust behaviors to obtain or maintain interests.

5. Conflict Minerals Commitment

To ensure our supply chain does not contribute to armed conflict, human rights abuses, or labor exploitation, we jointly commit to not using conflict minerals (such as Tin, Tungsten, Tantalum, Gold, etc.) from the Democratic Republic of the Congo (DRC) and its neighboring regions. Suppliers must commit to sourcing minerals from qualified smelters to fulfill social responsibilities regarding human rights and environmental protection.

6. Implementation & Supervision

Continuous Improvement: Suppliers are encouraged to establish internal management mechanisms and propose improvement plans to enhance performance.

Violation Handling: If a supplier is found to be in violation of this policy, the Company reserves the right to adjust the partnership, including suspension or termination of cooperation.

7. Supplier Rating System

Suppliers are categorized into the following four levels:

Grade Score Description Countermeasures
A 90 or above Excellent Consider increasing procurement volume as appropriate.
B 70 - 89 Good Maintain current transaction status.
C 60 - 69 Fair Consider reducing procurement volume as appropriate.
D Below 60 Poor If no improvement after correction, replace the subcontractor.
